Acceptance

Acceptance
정의: an acceptance consists of an expression of present, unequivocal, unconditional assent by the offeree to each and every term of the offer. 
- Grumbling acceptance라 하더라도 acceptance이다. 
C/L – Acceptance 문제 = mirror image rule
- At common law the content of an effective acceptance must be a literal mirror image of the terms of the offer, and only those terms. 
- 만약, offeror가 요구하는대로 하지 않을 경우, reject가 되고 counter-offer가 성립될 수 있다. 
- offeror는 king of acceptance: 따라서 offeror가 요구하는 ‘방식’으로 accept해야한다. Fax로 보내라고 했다면 fax로 보내야 할 것이고, 편지로 보내라 했다면 편지로 보내야 한다. 
Mailbox rule 문제 – deposited acceptance rule
- 원칙은 offeror가 요구하는 방식과 시간을 acceptace의 방식으로 한다. 하지만, 만약 offeror가 별다른 지시가 없을 경우, acceptance의 ‘시점’은 offeree가 편지를 발송한 싯점이고 그 순간부터 acceptance가 유효하게 된다. 
- 예컨대, 월요일에 오퍼가 들어왔고 화요일에 오퍼에 대한 acceptance 편지를 보냈다. 뭐냐? 화요일에 계약이 성립되었다. 
* 수요일에 offeree가 offeror에게 전화걸어서 ‘안해!!!’라고 말했다. 이에 offeror가 실망하고 있는 상태에서 옆집 사람이 와서 계약을 체결하자고 말하고 offeror가 이를 승낙했다. 그럼 어찌 될까? 화요일에 계약이 있다 하더라도 offeror가 offeree가 말한 것에 의존하였기 때문에 사실 offeree는 estopped from saying there is a contract라고 말할 수 없다. 
- 예컨대, 화요일에 offeree가 offeror에게 reject하는 메일을 발송했다. 뭐냐? Rejection은 offeror가 그 편지를 받아야 유효한 계약이 성립된다. 
* 그런데 수요일에 offeree가 acceptance의 편지를 발송했다. 그럼 뭐냐? 아직 offeror가 아무것도 받지 않은 상태일 경우, 어쩔꺼냐? Mailbox rule을 적용한다. 그래서 contract가 성립된다. 
* 목요일에 rejection mail이 도착했다. 뭐냐? Offeror가 아직 모르긴 해도 여전히 contract가 성립되어 있다. 비록 offeror가 모른다해도 유효한 contract다. 
* 이때 옆집 사람이 와서 집을 팔아라 라고 말을 했고 이에 offeror가 그러자라고 말했다. 그럼 뭐냐? Offeror는 자신이 받은 rejection letter를 들고서 네가 이거 보냈잖아 그러니까 넌 estopped from denying하게 된다. 
* 만약, 옆집사람이 오지 않았구, 그냥 rejection letter를 들고 있었는데, 금요일 acceptance 편지가 도착했다. 그럼 뭐냐? 그 편지로 계약이 성립되었다는 것을 확실히 알게 된 것 뿐이지.어차피 계약은 수요일에 성립되었다. 
Additional Terms vs. Different Term
- 무엇이든 acceptance 같은 것만 smell 있다면 acceptance로 취급한다. 즉, 양당사자의 행동만을 보고 offer & acceptance가 있다면 계약이 성립한 것으로 취급한다.  
- 하지만, ‘additional’ terms나 ‘different’ term이 적힌 confirmation memo가 있을 경우 UCC는 common law와 달리 취급한다. 원래 Common law에 따르면 additional term이나 different term이 있을 경우, counter-offer로 취급하는 것과는 차이를 보인다. 
- 분석방법: 2 step으로 구분해서 분석해야한다. 
1st step: Does it smell like acceptance? then there is an agreement. Also, Does it feel like we have a contract? 당사자들의 conduct를 봐라. 계약이 있는 것으로 보이면 계약이 성립된 것이다. 
2nd step: 그렇다면 두번째, additional term과 different term은 어떻게 취급할 것이냐의 문제를 분석한다. 이때는 두개의 domain으로 나누어서 다시 분석해야한다. 
* 최소한 한명이 non-merchant인 경우
[1] Additional term은 – ‘절대로’ 계약의 일부가 되지 못한다. 절대로 될 수 없다. 대신, propose로 보고 ‘만약’ offeror가 additional term에 대해 ‘동의’한다면 계약의 일부가 될 수 있다. 
[2] Different term은 – term in the offer controls. 따라서 offeree가 내놓은 어떠한 ‘다른’ 조건이나 내용도 계약의 일부는 될 수 없다. 오직 offeror가 내놓은 계약내용만이 계약이 된다.  
* 모두 merchant인 경우
[1] Additional term은 – 원칙은 additional term은 자동으로 계약의 일부가 된다. (Between merchants additional terms become part of the contract). 단, 세가지 중 한가지에 해당하면 계약의 일부가 될 수 없다. 
i) the offer expressly limits offeror’s term;
ii) additional terms materially alter it; or – 작은 문제라면 그냥 자동으로 계약의 일부가 되지만, 큰 문제일 경우라면, bargain하려고 교섭하는 과정에서 내놓아야지 후에 내놓는 것은 상거래상 정당하지 못하기 때문이다. 
iii) the offeror seasonably objects the additional term. 
[2] Different term은 – Terms of offer controls. 위의 경우와 동일하다. 
§ 2-207. Additional Terms in Acceptance or Confirmation
(1) A definite and seasonable expression of acceptance or a written confirmation which is sent within a reasonable time operates as an acceptance even though it states terms additional to or different from those offered or agreed upon, unless acceptance is expressly made conditional on assent to the additional or different terms.
(2) The additional terms are to be construed as proposals for addition to the contractBetween merchants such terms become part of the contract unless:
  • (a) the offer expressly limits acceptance to the terms of the offer;
  • (b) they materially alter it; or
  • (c) notification of objection to them has already been given or is given within a reasonable time after notice of them is received.
(3) Conduct by both parties which recognizes the existence of a contract is sufficient to establish a contract for sale although the writings of the parties do not otherwise establish a contract. In such case the terms of the particular contract consist of those terms on which the writings of the parties agree, together with any supplementary terms incorporated under any other provisions of this Act.
Auction
Auction with reserve – highest bid가 나왔다 하더라도 seller가 원하지 않으면 안팔아도 된다. 이게 auction의 원칙이다. 
Auction without reserve – highest big이면 어쨋거나 seller는 팔아야 한다.
